CLARK, J. FLETCHER APSEY, WILLIAM F. BENSING, and JOHN A. MAGEE, whose respective post-office addresses appear after their signatures hereto, being citizens of the State of Maryland, and residing therein, all being of full age, do hereby associate themselves with the inten- tion of forming a corporation under and by virtue of the General Laws of the State of Maryland, authorizing the for- mation of corporations. And they further state that First: The Name of the Corporation is "WILLIAM MARTIEN AND COMPANY, INCORPORATED" Second: The purposes for which, and for any of which, the corporation is formed, and the business and objects to be carried on and promoted by it are (1) To transact a general real estate agency, brokerage and appraisal business; to manage office, mercantile, factory, and other buildings; to act as agent, broker, or attorney-in-fact for any persons or corporations in buying, selling and dealing in real estate, and any and every estate, interest or rights therein, and in making or obtaining loans upon such property. (2) To purchase or otherwise acquire, to de- velop, sell, convey, lease, mortgage, or otherwise dispose of, without limit as to amount, real estate and any interest, estate or rights therein; and to assume the payment pa of any mortgages or other in- cumbrances on property purchased. (3) To acquire the good-will, rights, assets and property of any person, firm, association or corporation, and to pay for the same in cash or in stock; to hold or in any lawful manner dispose of the whole or any part of the property so acquired; to conduct in any lawful manner the whole or any part of the business so acquired, and to exercise all the powers necessary or convenient in and about the conduct and management of such business. (4) To loan money to, finance, or in any other manner aid and assist any corporation or enterprise in which, or in the property of which, or in the stock, securities or evidences of indebtedness of which (either in whole or in part), it is interested. 4 (5) To borrow money, sand free, mille time, to (5) and issue promissory nex to make and evidences of indebtednent fall kinds, when and as the same may be convenient for the purposes of the Company, or any of them, and if deemed advisable to secure the payment of the same by mortgage or in any other manner. (6) To carry on any other business which may, in the discretion of the Directors, seem Bapable of being conveniently carried on in con- nection with the above, or calculated directly or Indirectly, to enhance the value of the Company's property or business, and to do any and all other acts and things and exercise any and all other powers which a partnership or natural person could do and exercise, and which now or hereafter may be authorized by law. It is the intention that the objects, purposes and powers in this section expressed shall be in no wise limited or restricted by reference to or inference from the clause of any other section or paragraph of this certificate, but that the objects, purposes and powers specified in this section and in each of the clauses, sections and paragraphs of this certificate shall be independent objects, purposes and powers. The said corporation shall have an enjoy all of the powers and rights conferred by Statute upon corpor- ations: the enumeration of specific powers in this certifi- cate is made in furtherance and not in limitation of the powers conferred by law, and no restriction upon any power is intended to be implied in such specification or from any expression. Third: The place at which the principal office of the corporation in the State of Maryland will be located is at the Lexington Building, Southeast Corner of Lexington and Liberty Streets, in the City of Baltimore, and the name of the Resident Agent of the corporation is James Carey Martien, who is a citizen of Maryland, actually residing therein, and whose post-office address is Lexington Building, Southeast Corner of Lexington and Liberty Streets, in the City of Baltimore. Fourth: The total amount of the authorized capital stock of the corporation is Two Hundred and Fifty Thousand Dollars, divided into 2,500 shares of the par value of $100. each. Fifth: The corporation shall have five directors, and the following will act as such until the first annual meet- ing of the corporation, or until their successors are chosen and qualified: John K. Mealy, Walter J. Pugh, J. Fletcher Apsey, William F. Bensing and John A. Magee. Sixth: The Board of Directors shall have the general management and control of all of the property and affairs of the corporation, and may exercise all the powers of the corporation, except such as are expressly limited by law to the stockholders. Seventh: Subject to the provisions of law, the com- pany may purchase or otherwise acquire, hold and re-issue the shares of its capital stock.
